PRUF Terms of Service

1. Acceptance of Terms

1.1 Agreement to Terms

By accessing or using PRUF, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

1.2 Organizational Use

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

1.3 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated as described in Section 18. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Account Terms

2.1 Eligibility

To use the Service, you must:

• Be at least eighteen (18) years of age, or twenty-one (21) years of age if required by the laws of your jurisdiction
• Be of legal age to enter into binding contracts and lawfully trade securities in your jurisdiction
• Have the legal capacity to enter into these Terms
• Not be barred from using the Service under any applicable laws
• Not be subject to economic sanctions or on any list of prohibited or restricted parties

2.2 Account Security

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Never share your password or account access with any third party
• Immediately notify us of any unauthorized use of your account
• Accept full responsibility for all activities that occur under your account

3. Description of Service

3.1 Service Overview

PRUF is a trading signal analytics platform that provides:

• Collection and analysis of publicly available tweets from trading influencers
• Performance metrics including win rates, average returns, and credibility scores
• Rankings and leaderboards based on proprietary analysis
• Real-time alerts and notifications for tracked traders
• Data delivery via website interface and API services
• Follow functionality for tracking specific traders
• Email alert system for trading signals

3.2 Beta Service Status

The Service is currently in BETA status, which means:

• Access is controlled through waitlist and beta access codes
• Features may be added, modified, or removed without notice
• No guarantee of service uptime or availability
• No guarantee of data accuracy or completeness
• Beta access may be revoked at any time

4. Beta Access and Subscription Terms

4.1 Beta Access

Access to PRUF during the beta period is managed through beta signup waitlist, referral programs, and administrative access codes. Referral abuse or manipulation will result in account termination.

4.2 Future Paid Features

PRUF reserves the right to introduce paid subscription tiers at any time. Beta users may receive advance notice and special pricing may be offered, but continued access is not guaranteed.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Harass, threaten, or abuse any tracked influencer
• Attempt to manipulate performance data or rankings
• Interfere with or disrupt the Service or servers
• Use bots, scrapers, or automated tools to access the Service
• Create multiple accounts to abuse referral systems
• Resell or redistribute PRUF data without authorization

5.2 No Harassment of Tracked Influencers

You expressly agree NOT to use PRUF data to harass, threaten, or abuse tracked influencers. Violation of this provision will result in immediate account termination and may result in legal action.

6. Email Alerts and Notifications

PRUF provides an email alert system that allows you to receive notifications when traders you follow post new trading signals. By following a trader and enabling alerts, you consent to receive these notifications.

6.1 Alert Reliability

PRUF makes no guarantees regarding delivery of all alerts, timeliness of delivery, or accuracy of alert content. Alerts are for informational purposes only and you should not rely solely on them for trading decisions.

6.2 Opt-Out

You can opt out of email alerts by unfollowing traders, clicking “unsubscribe” links, or contacting support@getpruf.app.

7. Intellectual Property Rights

7.1 PRUF's Proprietary Rights

All rights, title, and interest in and to the Service are the exclusive property of PRUF and its licensors, including:

• PRUF Score Algorithm: Proprietary methodology for calculating trader credibility scores
• Performance Calculations: Methods for computing returns and win rates
• Signal Parsing Engine: Natural language processing systems
• Trademarks: “PRUF,” “PRUF Score,” “PRUF Verified,” and related marks

These algorithms and methodologies constitute trade secrets and may not be reverse-engineered, decompiled, or otherwise extracted.

8. Data Scraping and Automated Access Prohibition

You agree NOT to use any automated means to access, collect, or copy Service content. Circumventing technical protection measures is a material breach of these Terms.

8.1 Liquidated Damages

Violations may result in liquidated damages of $1,000 per violation, $10,000 per day for ongoing violations, or $100,000 for creation of a competing database using PRUF data.

9. API Terms of Service

If PRUF provides you with API access, your use is subject to these Terms and additional API-specific documentation. API users may not exceed rate limits, cache data beyond permitted durations, or redistribute API data without authorization. Commercial API use requires a separate license agreement.

10. User-Generated Content

If you submit content through the Service, you retain ownership but grant PRUF a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display that content in connection with the Service.

11. Third-Party Data and Platform Compliance

PRUF collects and analyzes publicly available data from Twitter/X. Market data is sourced by Tiingo.com. You acknowledge this data may be delayed and is not suitable for real-time trading decisions. PRUF is not affiliated with or endorsed by Twitter/X or Tiingo.

12. Use of Influencer Names and Public Information

PRUF displays publicly available information about trading influencers. This usage is based on newsworthiness, public interest in investor education, and fair use principles. Inclusion does not imply endorsement, and performance metrics are PRUF's independent calculations.

Tracked influencers who wish to verify accuracy, request corrections, or inquire about opt-out options can contact influencers@getpruf.app.

13. Financial Disclaimers

13.1 No Investment Advice

The information provided on PRUF does NOT constitute investment advice, financial advice, tax advice, legal advice, a recommendation to buy, sell, or hold any security, or personalized investment recommendations.

13.2 No Fiduciary Relationship

PRUF is NOT your investment advisor, broker, or fiduciary. No fiduciary relationship is created. You are solely responsible for your own investment decisions.

13.3 Past Performance Disclaimer

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. Historical performance information should NOT be interpreted as a guarantee of future performance.

13.4 Risk Warnings

TRADING AND INVESTING IN SECURITIES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR EVERY INVESTOR.

• You could lose some or all of your invested capital
• Securities markets are inherently volatile
• Trading on margin amplifies both gains and losses
• Options can expire worthless; short selling involves unlimited risk
• Never invest money you cannot afford to lose

14. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRUF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ANY LOSS OF PROFITS, REVENUE, OR DATA, OR ANY INVESTMENT OR TRADING LOSSES.

IN NO EVENT SHALL PRUF'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRUF IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

16. Indemnification

You agree to indemnify, defend, and hold harmless PRUF and its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

17. Dispute Resolution

17.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States.

17.2 Arbitration Agreement

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware.

17.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17.4 Opt-Out Right

You may opt out of arbitration by sending notice to legal@getpruf.app within 30 days of first accepting these Terms.

18. Changes to Terms and Service

PRUF reserves the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms, sending email notification, and updating the “Last Updated” date. Continued use constitutes acceptance of updated Terms.

19. Termination

You may terminate your account at any time by contacting support@getpruf.app. PRUF may terminate or suspend your access immediately for violation of Terms, fraudulent conduct, or legal requirements. Upon termination, your data will be deleted or anonymized within 30 days.

20. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and PRUF
• Severability: Invalid provisions shall be modified or severed; remaining provisions continue in effect
• Waiver: No waiver of any term constitutes a continuing waiver
• Assignment: You may not assign these Terms without PRUF's consent
• Force Majeure: PRUF is not liable for failures due to causes beyond our reasonable control
